MicroPerfumes Terms and Conditions for the Online Sale of Goods and Services

1. Scope, Eligibility, Authority, and Acceptance

These Terms of Sale ("Sale Terms") govern the purchase and sale of goods and services through microperfumes.com and any other sales channel that expressly incorporates them. They are an agreement between you and Perfume Ventures, Inc. d/b/a MicroPerfumes ("MicroPerfumes," "Perfume Ventures," "we," "us," or "our").

By placing an order, you affirm that you are at least eighteen years old and have reached the legal age to form a binding contract, that you are legally permitted to order, and that you accept these Sale Terms. If ordering for a company or organization, you affirm that you have authority to bind it. You may not order if you do not agree or are prohibited by law.

2. Incorporated Documents and Priority

These Sale Terms are an integral part of and incorporate the Website Terms of Use, Privacy Policy, applicable promotion, reward, gift-card, shipping-protection, and product terms, and other terms presented with an order. If you enroll in mobile messaging, the Mobile Messaging Terms and Conditions and Mobile Messaging Privacy Policy apply.

These Sale Terms control sale-specific matters. The Website Terms control general site matters and JAMS dispute procedures. The Mobile Messaging Terms exclusively control Program-specific matters and Program disputes.

3. Changes and Applicable Version

We may update these Sale Terms prospectively. The version applicable when an order is accepted continues to govern that order unless law requires otherwise. We will not retroactively change a completed transaction without legally sufficient assent. We may preserve historical versions, transaction records, confirmation pages, and acceptance evidence.

4. Order as Offer; Acceptance; Cancellation

Your order is an offer to buy the listed products or services under these Sale Terms. All orders must be accepted by us, and we are not obligated to sell until acceptance. A cart, payment authorization, automated acknowledgment, confirmation number, or email confirming receipt of an order does not necessarily constitute acceptance, even if it lists an order number and item details.

We may accept, reject, hold, limit, or cancel an order in whole or part in our discretion for product availability, quantity limits, pricing or description errors, suspected fraud, payment issues, address or shipping restrictions, sanctions, unauthorized resale, promotion abuse, legal requirements, or conduct inconsistent with an applicable policy.

Unless stated otherwise, acceptance occurs when we transfer a physical product to the carrier or electronically deliver a digital product or service. We may accept part of an order by shipping it and reject or cancel the remainder. If payment was captured for a canceled item, we will issue the applicable refund to the original payment method, subject to processor timing.

5. Customer Cancellation and Order Changes

You may request cancellation or an eligible address change through available account tools or customer support before processing reaches a point where the change cannot reasonably be made. A request is not guaranteed after preparation, customization, filling, packing, label creation, carrier tender, or shipment begins. An order-edit window is a convenience and does not extend our obligations after it expires.

6. Product Listings, Images, Packaging, Volume, and Availability

We make reasonable efforts to describe products accurately. Product images are illustrative. Packaging, labels, caps, atomizers, colors, fill appearance, batch appearance, retail packaging, and non-material details may vary because of manufacturer changes, supply availability, photography, screen settings, and independent rebottling.

Products and quantities are subject to availability. Adding an item to a cart does not reserve inventory. We may discontinue products, limit quantities, substitute updated manufacturer packaging where the product and size remain materially the same, or cancel an unavailable item.

We may fulfill an order in multiple shipments or from different facilities. A partial shipment does not constitute acceptance of an unshipped item.

Independently rebottled products are filled to the stated nominal volume using commercially reasonable equipment and procedures. Container shape, atomizer design, ordinary manufacturing tolerances, evaporation, and functional headspace may affect visual appearance. A difference in apparent fill level alone does not necessarily mean that the stated nominal volume was not provided.

Fragrance notes, comparisons, certifications, descriptions, reviews, performance observations, and statements are informational. Experience varies by skin chemistry, environment, storage, application, batch, and perception. We do not guarantee a particular smell, projection, development, duration, or result.

7. Prices, Price Labels, Discounts, Promotions, Errors, and Taxes

All prices, discounts, shipping thresholds, and promotions are subject to change before order acceptance. The amount charged is the amount displayed and accepted at checkout, subject to correction of an obvious or technical error and applicable law. Taxes, shipping, handling, and other charges are shown during checkout when reasonably available and may be separately itemized in the order confirmation.

Reference-price labels such as "List Price," "MSRP," "Compare At," "Our Price," "Sale," or "Clearance," when used, are described or calculated under the disclosure accompanying the offer and applicable law. A reference price is not a representation that every seller currently offers the product at that price.

We strive to display accurate price, inventory, promotion, and availability information, but typographical, calculation, display, data-feed, configuration, or technical errors may occur. We may correct an error and reject or cancel an affected order before acceptance. If an error is identified after acceptance, we will provide the remedy required by law and may offer a corrected transaction or cancellation.

Promotion-specific terms control the promotion and are supplemented by our Promotional Offer Terms and Exclusions and Rewards Terms. Unless stated otherwise, offers cannot be combined, have no cash value, and may be limited, modified, suspended, or canceled to address error, abuse, fraud, inventory, legal, or technical issues.

8. Payment Terms, Authorization, and Fraud Review

Payment terms are within our discretion and, unless otherwise agreed, payment must be received before acceptance or shipment. We may accept payment methods displayed at checkout and may change available methods.

By submitting payment information, you represent that it is true, complete, and accurate; you are authorized to use the method; charges will be honored; and you authorize us and our payment providers to charge the order total and any separately authorized adjustments. Your bank, card issuer, digital wallet, or buy-now-pay-later provider may impose separate terms.

We may use identity, address, device, payment, sanctions, velocity, and transaction screening; place an order on hold; request verification; limit tender types; or cancel a transaction when reasonably necessary to protect customers, PVI, or payment systems.

9. Shipping, Handling, and Delivery

We arrange shipment through available carriers. Check the product page and checkout for available options. You will pay shipping and handling charges stated during ordering. These charges reimburse costs associated with processing, handling, packing, shipping, and delivery and may not equal the carrier's postage charge.

Delivery dates and windows are estimates only and are not guaranteed. Carriers, weather, holidays, customs, addresses, demand, government action, labor, supply, telecommunications, and events outside our control may cause delay. We are not liable for carrier delay to the fullest extent permitted by law.

You are responsible for providing a complete and accurate address, including unit information. We do not guarantee an address change after processing. Charges, delays, loss, or return resulting from an incomplete, incorrect, refused, or undeliverable address may be your responsibility to the extent permitted by law.

10. Title and Risk of Loss

To the fullest extent permitted by law, title and risk of loss pass when we transfer the product to the carrier for delivery to you. This allocation does not limit an available voluntary remedy under our Satisfaction Guarantee, an optional shipping-protection program, carrier procedures, or non-waivable law.

11. Optional Shipping Protection

If we offer optional shipping protection, transit coverage, or a delivery guarantee, the separate terms displayed at checkout or with the coverage govern its scope, exclusions, claim process, provider, price, and refund treatment and are incorporated for the covered shipment. A charge or deduction will apply only as disclosed and permitted by law.

12. Damaged, Defective, Leaking, Incorrect, Missing, Lost, or Stolen Orders

Contact help@microperfumes.com promptly, preferably within seven days after delivery or the relevant carrier event, if an item is damaged, defective, leaking, incorrect, missing, lost, or stolen. Prompt notice helps preserve product evidence and carrier rights, but this expectation does not shorten a non-waivable statutory right.

We may request photographs, packaging, product, delivery details, carrier documentation, a police report, affidavit, return of an item, or other reasonable evidence. Available resolutions may include replacement, exchange, store credit, refund, carrier claim, protection claim, or denial of an unsupported, fraudulent, abusive, duplicative, or ineligible claim.

13. Returns, Refunds, Exchanges, and Satisfaction Guarantee

We do not generally accept returns except as provided in these Sale Terms, the Satisfaction Guarantee, an applicable product or promotion term, or law. Submission of a request does not guarantee approval.

• Samples, sample sprays, travel sprays, and independently rebottled formats. These are prepared for the order and cannot be resold after shipment. They are final sale once shipped except where required by law or where an item is damaged, defective, incorrect, or otherwise qualifies for an approved remedy.
• Full-size retail bottles. An unopened full-size retail bottle may be eligible for an approved return within thirty days after receipt if factory sealed, unused, in original condition and packaging, and compliant with the return procedure.

Every return requires advance approval and a return merchandise authorization ("RMA"). Unauthorized returns may be refused, returned, or delayed. The return address is:

Include the order number and assigned RMA inside the package and use a trackable shipping method. We are not responsible for a return lost before delivery to us.

Unless caused by our error or required otherwise by law, original shipping charges, return shipping charges, and fees associated with unclaimed, refused, undeliverable, or returned packages are non-refundable and are the customer's responsibility. If, before an approved return is shipped, we offer a prepaid return label and disclose that its actual cost will be deducted from the merchandise refund, the actual label cost may be deducted unless law prohibits the deduction or our error prompted the return.

Approved returns are inspected. A remedy may be reduced or denied for opened, used, altered, incomplete, substituted, damaged, counterfeit, unauthorized, late, or ineligible items, subject to law. This voluntary return program does not override statutory consumer protections.

14. Chargebacks and Payment Disputes

Contact customer support before initiating a payment dispute so we can investigate. A chargeback does not expand return or refund rights. We may provide order, assent, payment, fraud-screening, communications, delivery, and policy records to the payment provider and may restrict an account associated with abusive, duplicative, or fraudulent disputes. Nothing limits a good-faith billing-error right or cardholder protection under law.

15. Authenticity, Independent Rebottling, and Non-Affiliation

MicroPerfumes sells authentic fragrances. Certain sample vials, sprays, travel sprays, and smaller formats are independently rebottled or repackaged by or on behalf of Perfume Ventures, Inc. from genuine fragrance obtained from original retail bottles.

Perfume Ventures, Inc. d/b/a MicroPerfumes is wholly independent from and unaffiliated with the fragrance manufacturers, designers, brand owners, and trademark holders whose products are identified. Unless a product listing expressly states otherwise, MicroPerfumes has no agreement, license, authorization, sponsorship, endorsement, or commercial association with those owners authorizing the rebottling or repackaging.

Trademarked names, designer marks, and brand designations remain the property of their owners and are used only to identify the genuine original fragrance contained in our independently filled containers. Original manufacturer bottles, boxes, caps, labels, and trade dress are not included with an independently rebottled product unless expressly stated.

Unless a listing expressly states otherwise, independently rebottled products are not covered by a fragrance manufacturer's packaging, refill, return, or warranty program. Any voluntary remedy offered by MicroPerfumes is governed by these Sale Terms and the Satisfaction Guarantee.

16. Product Use, Assumption of Risk, Allergies, and Sensitivities

We do not manufacture or control original fragrances. Product availability does not indicate affiliation with or endorsement by a manufacturer. Certifications, statements, ingredients, product descriptions, notes, comparisons, and reviews are informational, may not be comprehensive, and are not medical advice or a recommendation of fitness for a particular use.

Fragrances may cause sensitivity, allergy, irritation, staining, or other adverse effects. Review available information, test a small amount on skin before full use, avoid eyes and ingestion, keep away from children and pets, store appropriately, and discontinue use if irritation occurs. Customer reviews are the statements of their authors, not PVI.

You are responsible for intended use and compliance with warnings, directions, and law. To the fullest extent permitted by law, we are not responsible for property damage or physical reaction caused by misuse, ingestion, use in unsuitable products, unauthorized modification, improper storage, use contrary to instructions, or an individual's allergy or sensitivity.

17. Warranty Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, ALL PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT EXPRESS, IMPLIED, OR STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, COURSE OF PERFORMANCE, COURSE OF DEALING, OR USAGE OF TRADE.

Some jurisdictions do not permit all warranty disclaimers, so some exclusions may not apply. We are not liable for a manufacturer's failure to honor a manufacturer warranty, to the fullest extent permitted by law. Nothing limits a warranty or remedy that law does not permit us to disclaim.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MICROPERFUMES AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, OR DIMINUTION IN VALUE; PROPERTY DAMAGE OR PHYSICAL REACTION TO THE EXTENT LAWFULLY EXCLUDABLE; OR ERRORS, DELAYS, OR ACTIONS TAKEN IN RELIANCE ON ORDER INFORMATION, REGARDLESS OF FORESEEABILITY OR THEORY.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR SOLE AND ENTIRE MAXIMUM AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PRODUCT, ORDER, OR SERVICE WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO US FOR THE PRODUCT, ORDER, OR SERVICE GIVING RISE TO THE CLAIM.

These limits do not apply to gross negligence, willful misconduct, death or bodily injury resulting from acts or omissions where liability cannot lawfully be excluded, or another non-waivable liability.

19. Personal and Household Use; Resale; U.S. Delivery; Export and Sanctions

You represent that purchases are for personal or household use and not unauthorized resale or export. Unless we expressly agree otherwise, purchases are intended for final delivery to locations within the United States. We may limit quantities or reject transactions involving diversion, resale, fraud, circumvention, or promotion abuse.

You may not export, re-export, transfer, purchase, or use products in violation of sanctions, export controls, customs, transportation, hazardous-material, or other law. We may restrict destinations, quantities, products, or payment methods.

20. Gift Cards, Store Credit, Rewards, and Promotional Benefits

Gift cards, loyalty, referrals, points, store credit, discounts, cashback, and similar benefits are governed by applicable terms. Except where required by law, they have no cash value and may be adjusted, reversed, withheld, or forfeited for return, refund, cancellation, chargeback, error, fraud, abuse, ineligibility, or account termination. A return or order adjustment may recalculate discounts, free shipping, points earned or redeemed, rewards, and store credit.

21. Privacy and Communications

The Privacy Policy governs personal information connected with a purchase. Providing a phone number for account, shipping, delivery, fraud prevention, or support does not by itself create marketing-SMS consent. Mobile marketing is governed by the Mobile Messaging Terms and Mobile Messaging Privacy Policy.

22. Force Majeure

We are not liable or in breach for delay or failure caused by events outside reasonable control, including acts of God, flood, fire, earthquake, explosion, epidemic, pandemic, war, invasion, hostilities, terrorism, riot, civil unrest, national emergency, revolution, insurrection, government action, lockout, strike or other labor dispute, carrier restraint or delay, supply shortage, inability to obtain suitable materials, telecommunications breakdown, power outage, or cyberattack. This does not excuse payment already due or limit non-waivable rights.

23. Governing Law and Dispute Resolution

The Federal Arbitration Act and, subject to non-waivable consumer law, California law govern. Except for mobile Program disputes, Section 31 of the Website Terms of Use, including informal resolution, JAMS binding individual arbitration, opt-out, unburdened small claims, consumer standards, mass-arbitration procedures, public-injunctive-relief savings, class and jury waivers, future-change rights, and severability, is incorporated into these Sale Terms.

Mobile Program disputes are governed exclusively by Section 17 of the Mobile Messaging Terms and Conditions and New Era ADR. The claim-limitation provision in Website Terms Section 32 is also incorporated to the fullest extent permitted by law.

24. Assignment

You may not assign rights or delegate obligations under these Sale Terms without our prior written consent, and an attempted assignment or delegation in violation is void. We may assign in connection with a merger, financing, acquisition, reorganization, asset sale, or business transfer. These Sale Terms bind and benefit permitted successors and assigns.

25. No Waiver; Severability; No General Third-Party Beneficiaries

No waiver by us is continuing or a waiver of another term, and failure to enforce a right does not waive it. A waiver must be in writing. An invalid provision will be limited or severed to preserve the remainder, subject to the specific arbitration severability rules.

Except for parties expressly identified as intended beneficiaries of a provision, these Sale Terms are solely for you and us and do not confer rights on another person.

26. Notices, Contact, and Entire Agreement

We may provide notice under these Sale Terms by sending it to the email address or mobile number you provided, by account notice, or by posting it on the Website. Email or authorized text notice is effective when sent, and posted notice is effective when posted, except where law requires another method or time. You are responsible for keeping contact information current. This notice provision does not create marketing consent beyond consent actually provided.

To give us formal legal notice, send email to support@perfumeventures.com or deliver notice by personal delivery, nationally recognized overnight courier, or registered or certified mail to the address below. Personal-delivery notice is effective upon delivery, overnight-courier notice one business day after dispatch, and registered or certified mail three business days after dispatch, unless mandatory law provides otherwise. A dispute notice must instead follow the applicable arbitration provision. We may update the notice address or email by posting an updated version of these Sale Terms.

The order confirmation, these Sale Terms, Website Terms, Privacy Policy, and additional terms expressly applicable to the order constitute the entire applicable agreement concerning the purchase and supersede prior discussions on that subject. A specific priority provision controls.
